The Trust is seeking to recruit a volunteer Company Secretary to assist us with our work and with arranging and supporting Board meetings, liaising with Companies House and the Charity Commission, and acting as the Chief Administrative Officer for the Trust.
The responsibilities of the role would be: · To arrange the annual calendar of Board and finance meetings in advance · To call Board Meetings (6 meetings per year), prepare and distrubute agenda and papers · To attend Board Meetings and take minutes · To record declarations of interest or conflicts of interests made by Board members · To prepare and circulate copies of the minutes after Board meetings · To submit the Trust’s annual return to Companies House · To submit (but not prepare) the annual accounts of the Trust to Companies House · To submit the Trust’s annual return to the Charities Commission · To act as the nominated Chief Administrative Officer for the Trust and be the principal point of contact for both Companies House and the Charity Commission · Ensure Companies House and the Charity Commission have up to date records for the Trust and board members
The time demands of the role will be limited – with duties concentrated around board meetings and annual returns. You will receive assistance as required from both Trust Staff and Board members.

Requirements
Previous experience of similar roles is desirable but not essential, as is knowledge of relevant company and charitable law. At a minimum we would require some experience of accurate minute taking and arranging meetings. The Trust Board would be happy to discuss the development of the role to suit your interests.
